1. Acceptance of Terms

By accessing or using NxAi, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your business, and agree to comply with these Terms and all applicable laws and regulations.

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the platform. Continued use of NxAi after changes take effect constitutes acceptance of the updated Terms.

2. Description of Services

NxAi provides a cloud-based platform that allows businesses to send and receive WhatsApp messages via the Official WhatsApp Business API, build AI-powered chatbots, automate marketing and support workflows, and manage customer communications through a shared team inbox.

Our services are provided on a subscription basis. Feature availability depends on your selected plan. We reserve the right to modify, add, or discontinue features at any time with reasonable notice.

3. Account Registration

To use NxAi, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

• You must not share your account credentials with unauthorized parties.
• You must notify us immediately if you suspect unauthorized access to your account at security@nxai.in.
• Each account is tied to one business entity. Multi-user access is managed through our team management feature within a single account.

4. Acceptable Use

You agree to use NxAi only for lawful purposes and in a manner that does not infringe the rights of others. You must not use NxAi to:

• Send spam, unsolicited messages, or messages to users who have not opted in to receive them.
• Transmit any content that is illegal, defamatory, harassing, abusive, or fraudulent.
• Distribute malware, phishing links, or any harmful code.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to gain unauthorized access to NxAi systems or other users' accounts.
• Engage in any activity that violates Meta's WhatsApp Business Terms or Messaging Policy.
• Resell access to the NxAi platform without a valid reseller agreement.

Violation of this section may result in immediate account suspension or termination without refund.

5. WhatsApp API Compliance

NxAi operates as an authorized Business Solution Provider (BSP) for the WhatsApp Business API. Your use of WhatsApp messaging through NxAi is subject to:

• Meta's WhatsApp Business Terms of Service
• Meta's WhatsApp Commerce Policy
• Meta's Messaging Policy

You are responsible for obtaining valid opt-in consent from all recipients before sending marketing messages, maintaining a compliant message template library, and responding to user opt-outs promptly. NxAi is not liable for penalties or restrictions imposed by Meta on your WhatsApp Business Account due to policy violations.

6. Payments and Billing

NxAi charges subscription fees based on your selected plan. All fees are stated in Indian Rupees (INR) unless otherwise noted.

• Subscriptions are billed in advance on a monthly or annual basis.
• Payments are processed through our third-party payment provider. By providing payment details, you authorize us to charge your payment method for all fees due.
• All WhatsApp conversation charges from Meta are billed separately and are based on Meta's conversation-based pricing model.
• Subscription fees are non-refundable except as described in our Refund Policy.
• We reserve the right to change pricing with 30 days' advance notice. Continued use after the price change takes effect constitutes acceptance of the new pricing.

7. Intellectual Property

All intellectual property in the NxAi platform, including software, design, trademarks, and documentation, is owned by Nexus AI Technologies Private Limited. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted to use the platform under your subscription.

You retain ownership of all content you create within the platform, including message templates, contact data, and chatbot flows. By using NxAi, you grant us a limited, non-exclusive licence to use your content solely to provide the services.

8. Data and Privacy

Your use of NxAi is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your collection and use of your customers' personal data through NxAi complies with applicable privacy laws, including obtaining necessary consents.

9. Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the platform until your subscription expires.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, fail to pay outstanding invoices, or if required to do so by law or by Meta. Upon termination, your data will be handled in accordance with our Privacy Policy.

10. Disclaimers

NxAi is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific results from the use of our platform.

WhatsApp message delivery is subject to Meta's infrastructure. NxAi is not responsible for message delivery failures caused by Meta, network issues, or recipient device status.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NxAi and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from your use of the platform or these Terms.

Our total liability to you for any claim arising out of or relating to these Terms or the platform shall not exceed the total amount you paid to NxAi in the 3 months preceding the claim.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating legal proceedings, we encourage you to contact us at legal@nxai.in to resolve disputes informally. We will make reasonable efforts to address your concerns within 14 business days.
